Terms of Service

1. Who we are and what these terms cover

Dallero is run by a sole trader business registered in Sweden ("Dallero", "we", "us"). You can reach us at info@dallero.com.

These terms apply to everything we offer under the Dallero name: the website and web portal at dallero.com, the Dallero employee app for iOS and Android, and the Dallero time clock app (together, "the Service").

The terms are an agreement between us and:

  • the business that sets up a company in Dallero ("the Company"), through the person who creates it. That person confirms that they may accept these terms for the business; and
  • every person who signs in to Dallero, for example an owner, an admin or an employee who accepted an invitation ("you").

By creating an account, accepting an invitation or using the Service, you accept these terms. If you do not agree, please do not use the Service. Our Privacy Policy explains how we handle personal data and is part of these terms.

2. Accounts

  • You sign in with Google, Apple or email. Keep your sign-in secure and do not share it. You are responsible for what happens under your account.
  • You must be at least 16 years old to have your own account.
  • Give correct information and keep it up to date.
  • The Company decides who is invited, who is an admin or owner and when someone's access ends. Owners and admins can see and change their company's data.
  • Tell us at info@dallero.com straight away if you think someone else has used your account.

3. A free service

Dallero is currently free of charge, with no limit on staff and no contract. You can stop using it at any time.

If we ever introduce paid plans, we will tell the Company at least 30 days in advance, and nobody will pay anything unless they choose a paid plan. We may set reasonable limits on use, for example to stop abuse or protect the Service for everyone.

4. The Company's responsibilities

Dallero is a tool for planning shifts, recording working time and preparing payroll. The Company stays responsible for how it uses it. In particular, the Company is responsible for:

  • Employment law: complying with the laws that apply to it, such as working time rules, minimum wage, rest breaks, Sunday and holiday pay, and the duty to keep records of hours worked (in Ireland, for example, under the Organisation of Working Time Act 1997).
  • Pay and figures: checking schedules, hours, pay rates, labour costs and exports before it relies on them, pays wages or reports to anyone. Money amounts in Dallero are estimates based on the data entered. Dallero does not give legal, tax, payroll or accounting advice.
  • Its staff's personal data: having a lawful reason to enter it, telling its staff that it uses Dallero, and answering their data protection requests. For this data the Company is the controller and we are its processor (see section 12).
  • Location checks: if the Company turns on location for clock-ins, telling its staff that the app checks their location when they clock in.
  • Its own copies: exporting and keeping its own copies of records it must keep (see section 7).

5. Acceptable use

When you use Dallero, do not:

  • break the law or anyone's rights, or use Dallero to discriminate against or harass anyone;
  • pretend to be someone else, or enter data about people you have no right to handle;
  • upload anything unlawful, harmful or offensive, or anything containing viruses or malicious code;
  • try to get into accounts, companies or data that are not yours, or test, probe or get around our security;
  • overload, disrupt, copy, scrape or reverse-engineer the Service, except where the law allows it;
  • resell the Service or use it to build a competing product.

6. Your data

The Company owns the data it and its staff put into Dallero, and you own your own content. You give us permission to store, copy, process and show that data only as far as we need to run, secure, support and improve the Service. This permission ends when the data is deleted, apart from copies we must keep by law. We never sell your data and we do not use it for advertising.

We may use anonymous, combined statistics that cannot identify you or your company, for example to understand how many shifts are planned in a month.

7. Storage, backups and keeping your own copies

Your data is stored on Google Cloud (Firebase) servers in the European Union. We take reasonable technical and organisational care to protect it (see our Privacy Policy).

The Company is responsible for keeping its own copies of anything it needs or must keep by law, such as hours worked, pay data and shift histories. Use the exports in Dallero (for example the payroll sheet and shift logs on the Results page) regularly and store them somewhere safe.

8. Availability and changes to the Service

  • We provide the Service "as is" and "as available". It may sometimes be slow or unavailable, for example during maintenance, updates or problems with our providers (such as Google, Apple and the app stores).
  • We keep improving Dallero, so we may add, change or remove features. If we remove something important, we will try to tell you in advance.
  • We may stop offering the Service altogether. If we do, we will give the Company at least 60 days' notice so it can export its data, unless we are forced to stop sooner.

9. No warranties

As far as the law allows, the Service is provided without warranties of any kind, whether express or implied, including that it is fit for a particular purpose, free of errors, secure, always available, or that its calculations, figures and exports are correct or complete.

10. Limitation of liability

Because Dallero is free, our responsibility is limited. As far as the law allows:

  • We are not liable for any indirect or consequential loss, or for loss of profit, revenue, business, goodwill or data, wrong wages or payments, fines, penalties or claims from authorities, employees or others, or the cost of restoring data or using another service.
  • Our total liability for everything related to the Service, whatever the cause, is limited to 100 euros, or to the amount you paid us in the 12 months before the claim if that is higher.

Nothing in these terms limits or excludes liability that cannot be limited by law, such as liability for death or personal injury caused by negligence, for fraud, or for damage caused intentionally or by gross negligence. If you use Dallero as a consumer, you also keep every right that consumer law in your country gives you and that cannot be waived.

11. Indemnity

The Company will cover our reasonable costs and losses from claims by others (for example its staff or an authority) that arise from the Company's data, its use of the Service or its breach of these terms or of the law. This does not apply to the extent the claim is caused by our own breach of these terms or of data protection law.

12. Data processing terms (GDPR Article 28)

This section is the data processing agreement between the Company (controller) and us (processor) for the personal data of its staff that we handle on its behalf.

  • What, why and how long: we host and process staff data (names, contact details, personal details the Company enters, employment details, pay rates, shifts and clock-ins, absence and availability requests, messages and change logs) only to provide the Service, for as long as the Company uses it.
  • Instructions: we process the data only on the Company's documented instructions, which are these terms and how the Company sets up and uses the Service, unless the law requires otherwise. We tell the Company if we think an instruction breaks data protection law.
  • Confidentiality: anyone who works on Dallero for us is bound to keep the data confidential.
  • Security: we take appropriate technical and organisational measures (Article 32), as described in the Privacy Policy.
  • Sub-processors: the Company gives us general permission to use the sub-processors listed in the Privacy Policy. We will update that list and tell the Company before adding or replacing one, so it can object. We impose the same data protection duties on them, and we remain responsible for them.
  • Transfers: data stays in the EU where possible. Any transfer outside the EEA uses a lawful safeguard, such as the EU-US Data Privacy Framework or the European Commission's Standard Contractual Clauses.
  • Help: we help the Company, as far as reasonable, to answer requests from its staff, to keep data secure, and with impact assessments and contact with supervisory authorities.
  • Breaches: we tell the Company without undue delay after we become aware of a personal data breach affecting its data.
  • End: when the Company's account is closed, we delete its data within 90 days, unless the law requires us to keep it. The Company should export what it needs before then.
  • Audits: we make available the information needed to show that we meet this section, and allow and contribute to reasonable audits, with reasonable notice and at the Company's own cost.

13. Ending use of the Service

  • You can stop using Dallero at any time. An employee can delete their profile in the employee app (My profile). To close a company and delete all its data, an owner can email us at info@dallero.com.
  • We may suspend or end an account or a company if it breaks these terms or the law, puts the Service or others at risk, or has been inactive for more than 24 months. Where reasonable we will warn first and give time to export data.
  • Sections 6, 7, and 9 to 12, and 15 still apply after use ends.

14. App stores and other services

If you downloaded our apps from Apple's App Store or Google Play, their terms also apply to the download. Apple and Google are not responsible for the apps or for supporting them. When you sign in with Google or Apple, their terms and privacy policies also apply to that sign-in.

15. Changes to these terms

We may update these terms, for example when we add features or the law changes. For important changes we will tell owners and admins by email or in the Service at least 30 days before they take effect. If you keep using Dallero after that, the new terms apply. If you do not agree, you can stop using the Service. The date at the top shows the latest version.

16. Law and disputes

These terms are governed by Swedish law. Disputes go to the Swedish courts, with the district court where we are registered as the first instance. If you are a consumer, you keep the protection of the mandatory laws of the country where you live and can also bring a claim in its courts.

Please contact us first. Most problems can be solved quickly by email.

17. Other terms

  • If a part of these terms is invalid, the rest still applies.
  • If we do not enforce a right straight away, we have not given it up.
  • We may transfer these terms and the Service to another business, for example a company we set up to run Dallero. We will tell you if we do, and your rights will not be reduced.
  • Neither of us is responsible for delays or failures caused by events beyond reasonable control.
  • These terms are the whole agreement about the Service. If they are ever translated, the English version applies.
